These Terms of Service ("Terms") govern your access to and use of the website and services provided by Krypton Global Consultants LLC ("Krypton", "we", "us", or "our"). By accessing our Site or engaging our services, you agree to be bound by these Terms.

1. Services

Krypton Global Consultants provides AI consulting, custom AI tool development, workflow automation, and related services to small and medium-sized businesses ("Services"). Specific deliverables, timelines, pricing, and scope are outlined in individual service agreements or statements of work ("SOW") agreed upon between Krypton and the client.

2. Use of the Website

You agree to use this Site only for lawful purposes. You must not:

• Use the Site in any way that violates applicable local, national, or international laws or regulations.
• Transmit unsolicited commercial communications (spam).
• Attempt to gain unauthorised access to any part of the Site or its related systems.
• Reproduce, duplicate, or copy any content from the Site without written permission.

3. Intellectual Property

All content on this Site — including text, graphics, logos, and code — is the property of Krypton Global Consultants LLC and is protected by applicable copyright and intellectual property laws.

For client engagements, ownership of custom-built AI tools and deliverables is outlined in the applicable SOW. Unless otherwise agreed in writing, clients receive a perpetual, non-exclusive licence to use the delivered tools for their internal business purposes.

4. Discovery Call & Free Services

The free Discovery Call offered on our Site is provided at no cost and with no obligation. Information shared during the call is confidential and used solely to assess how Krypton may assist your business. Krypton reserves the right to decline any engagement at its discretion.

5. Payment Terms

For paid engagements:

• Payment terms are specified in the applicable SOW or invoice.
• Invoices are due within 14 days of issue unless otherwise agreed in writing.
• Late payments may incur a 1.5% monthly interest charge.
• All fees are quoted in US Dollars (USD) unless otherwise stated.

6. ROI Guarantee

Where a 60-day ROI guarantee is offered, the following conditions apply:

• Specific, measurable success metrics must be agreed upon in writing before project commencement.
• The guarantee applies to the primary deliverable as defined in the SOW.
• The client must provide timely access to required data, systems, and personnel throughout the engagement.
• Refunds are processed within 30 days of a valid guarantee claim.
• The guarantee is void if the client fails to implement the delivered solution or materially changes the agreed scope.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of an engagement. This obligation survives termination of the engagement for a period of two (2) years.

8. Limitation of Liability

To the maximum extent permitted by law, Krypton Global Consultants LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our Site or Services. Our total liability to any client for any claim arising out of a service engagement shall not exceed the total fees paid by that client in the preceding three (3) months.

9. Disclaimer of Warranties

The Site and its content are provided "as is" without any warranties, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Third-Party Links

Our Site may contain links to third-party websites. These links are provided for convenience only. Krypton has no control over the content of those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them.

11. Termination

Either party may terminate a service engagement by providing written notice as specified in the applicable SOW. Upon termination, all outstanding fees for work completed become immediately due. Krypton reserves the right to terminate access to the Site for any user who violates these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, USA. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in California.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
